INNOVERSIL Terms and Conditions

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE USING OUR PLATFORM.
These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Member," "User," or "Client") and INNOVERSIL ("we," "us," "our"). They govern your access to and use of the INNOVERSIL platform available at innoversil.com, including related mobile sites and applications (collectively, the "Platform"), and the ordering, sale, and delivery of any membership subscriptions or commercial services.
By registering for an account, purchasing a membership, or using our Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you may not access or use our Platform.
- Definitions
- "Platform": The INNOVERSIL website, mobi-sites, and software applications.
- "Member": An individual or entity that has registered for a membership subscription (IA, IP, or ICM).
- "Commercial Client": An entity that purchases commercial services outside of a standard membership.
- "Content": Any text, graphics, images, music, software, audio, video, information, or other materials.
- "Member Content": Content that a Member posts, uploads, publishes, or submits to the Platform.
- "Services": Both membership subscriptions and commercial services offered by INNOVERSIL.
- Membership
2.1. Membership Tiers and Fees.We offer the following individual membership tiers:
- IA (International Associate): $9.99 per month
- IP (International Professional): $49.00 per month
- ICM (International Change Maker): $299.00 per month
Fees are billed on a monthly or annual basis, as selected during registration.
2.2. Eligibility and Application.
Membership is contingent upon meeting specific eligibility requirements and a successful application review by the INNOVERSIL admissions committee. You agree to provide accurate, current, and complete information during the application process and to update it as necessary.
- IA Membership: Requires a 3-year degree plus a postgraduate qualification (or a 4-year honors degree), 0–3 years of work experience, and verifiable evidence of at least one innovation project.
- IP Membership: Requires a Master's degree, 4–10 years of work experience, verifiable evidence of at least three successful innovation projects, and a commitment to an annual thought leadership contribution (e.g., article, case study) as defined on the Platform.
- ICM Membership: Requires a Master's or PhD, 11+ years of leadership experience, proven large-scale innovation impact (e.g., on projects valued over $100M), passing three innovation exams, and a monthly thought leadership commitment.
2.3. Verification. You grant INNOVERSIL the right to verify all credentials, work experience, and innovation projects you claim. Providing false or misleading information is a material breach of these Terms and will result in immediate termination of your membership.
- Commercial Services
3.1. Service Agreements.The specifics of commercial service packages (including scope, deliverables, timelines, and pricing) will be detailed in a separate, mutually agreed-upon Statement of Work ("SOW") or Service Agreement. In the event of a conflict, the terms of the SOW will prevail over these general Terms.
3.2. Member Discounts
All INNOVERSIL members receive a flat 15% discount on all commercial services, regardless of membership tier. This discount applies to the standard list price of services and represents our commitment to providing immediate value to our innovation community.
Discount Application:
- The 15% discount is applied to all standard commercial service packages and engagements
- Discounts are personal to each member and apply to projects where the member is directly involved
- Only one member discount may be applied per project or engagement
Organizational Benefits:
When three or more members from the same organization maintain active INNOVERSIL memberships, the organization qualifies for enhanced enterprise pricing through a custom enterprise agreement.
Terms:
- Discounts apply only to the list price of services and cannot be combined with other offers
- INNOVERSIL reserves the right to move large engagements (>$25,000) to custom enterprise pricing
- Discount privileges require active membership status and are subject to INNOVERSIL's fair use policy
4. Payment Terms
4.1. Membership Subscriptions. Payment for subscriptions is due in advance. By providing a payment method, you authorize us to charge the applicable fees automatically on each billing date. You can cancel your subscription by providing us with 30 days' written notice; your access will continue until the end of your current billing cycle. Refunds are not provided for partial membership periods.
4.2. Commercial Services. For commercial service engagements, a 50% deposit is required upon project initiation, with the balance due upon completion and acceptance of deliverables. For packages valued over $10,000, payment plans may be available as specified in the SOW.
- Intellectual Property Rights
5.1. Your Content.You retain all ownership rights to the Member Content you post on the Platform. By posting Member Content, you grant INNOVERSIL a worldwide, non-exclusive, royalty-free license to use, display, and distribute that Content within the Platform and for our internal business purposes.
5.2. INNOVERSIL's Property. All Platform content, including but not limited to text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, software, and all methodologies, frameworks, and know-how, is the property of INNOVERSIL or its content suppliers and is protected by international copyright and intellectual property laws. Your membership or use of Services does not transfer any ownership rights to you.
5.3. Commercial Deliverables. Upon full payment, Commercial Clients receive a perpetual, non-exclusive, non-transferable license to use the final deliverables created specifically for them for their internal business purposes only. INNOVERSIL retains all rights to the underlying tools, methodologies, and pre-existing IP used to create the deliverables.
- User Conduct and Community Guidelines
You agree to abide by our Code of Conduct and Integrity, which is incorporated into these Terms by reference and available at: https://innoversil.com/code-of-conduct-integrity/. This includes maintaining professional and respectful communication, protecting confidential information, and not engaging in spamming, solicitation, or harassment. - Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, INNOVERSIL'S TOTAL AGGREGATE LIABILITY TO YOU (WHETHER IN CONTRACT, TORT, NEGLIGENCE, OR OTHERWISE) ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM AND SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES PAID BY YOU TO INNOVERSIL IN THE 12-MONTH PERIOD PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
IN NO EVENT SHALL INNOVERSIL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, LOSS OF DATA, OR COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES.
- Termination
8.1. By You.You may terminate your membership at any time with 30 days' written notice to legal@innoversil.com.
8.2. By INNOVERSIL. We may suspend or terminate your membership immediately upon notice to you if: (a) you materially breach these Terms or our Code of Conduct; (b) you fail to pay fees when due; or (c) we believe your actions harm the Platform, our community, or our brand. Where reasonable, we will provide you with notice and an opportunity to cure the breach.
- Dispute Resolution and Governing Law
9.1. Governing Law.These Terms shall be governed by and construed in accordance with the laws of England and Wales.
9.2. Resolution Process. The parties agree to resolve any dispute as follows:
1. Informal Negotiation: The parties will first attempt to resolve the dispute informally through negotiation within 30 days.
2. Mediation: If negotiation fails, the parties will attempt to resolve the dispute through mediation by a single mediator appointed by a recognized mediation body in London, UK.
3. Arbitration/Litigation: If mediation is unsuccessful, the dispute shall be finally resolved by the courts of England and Wales, to which you hereby submit.
- General Provisions
10.1. Modifications.We reserve the right to modify these Terms at any time. We will provide at least 30 days' notice for any material changes via email or a prominent notice on the Platform. Your continued use of the Platform after the effective date of the revised Terms constitutes your acceptance of them.
